Current Practice
Toby Eggleston is a Director in the Melbourne office of Greenwoods & Freehills Pty Limited. Toby has experience in a range of corporate taxation issues focusing in particular on private equity, including:
- the formation of private equity and venture capital funds;
- advice on structuring investments for private equity investors and vendors;
- tax due diligence on the acquisition of investments;
- capital management strategies; and
- structuring management and employee incentives.
Industry Experience
Recent matters that Toby has advised on include:
AXA SA on the acquisition of the Asian entities from AXA APH;
Pure Energy Resources in relation to its takeover by BG;
UXC in relation to its takeover of Ingena Ltd;
BHP Billiton Limited in relation to its $4.2b off-market share buy-back in 2011;
private equity and infrastructure funds in fundraisings for Advent V, Starfish Technology Fund II, IFM Global Infrastructure Fund and IFM Infrastructure Funds;
private equity funds in relation to investments and management plans for Advent, Harbert Private Equity, Starfish Ventures, Hastings Funds Management and Turnberry Funds Management;
Australian Infrastructure Fund on its sale of its interests in the Port of Geelong, Port of Portland, and Metro Transport Sydney;
Alberta Investment Management Corporation on its participation in the A$415 million acquisition of Great Southern Plantations’ timberland assets; and
the Federal Government in relation to the T3 Telstra share sale.
Professional Background
Toby holds a Bachelor of Jurisprudence, Bachelor of Laws and Bachelor of Commerce from the University of Western Australia. He is also a fellow of the Taxation Institute of Australia and has presented at various TIA seminars, written several articles on Australian tax issues and drafted submissions to government for AVCAL and private equity fund managers on various issues relating to private equity.
