Current Practice

Toby Eggleston is a Director in the Melbourne office of Greenwoods & Freehills Pty Limited.

Toby advises on a wide range of corporate tax matters, focusing on:
  • mergers and acquisitions, in particular the negotiation of sale documentation; 
  • capital management strategies; 
  • structuring of fund formation and investments for private equity investors; 
  • employee share and option plans; and
  • drafting of tax sharing and tax funding agreements.

Industry Experience

Recent matters that Toby has advised on include:
  • UXC’s takeover of Ingena Ltd;
  • acting for Pure Energy Resources in relation to its takeover by BG;
  • Industry Funds Management, Hastings Private Equity, Turnberry Private Equity and ANZ on private equity investments; 
  • Hastings acquisition of Thames Water Ballarat;
  • structuring the fund raising for Advent and Starfish Ventures;
  • Coles Myer in relation to its 2005 and 2006 buy-backs; 
  • Transurban’s takeover of Hills Motorway;
  • advising the Federal Government in relation to the ‘T3’ Telstra sale; and
  • employee share and option plans for many leading companies in Australia including Coles Myer, Just Group, ANZ Banking Group, AXA, Aventis, Centro, GSK,  and Transurban.

Professional Background

Toby holds a Bachelor of Jurisprudence, Bachelor of Laws and Bachelor of Commerce from the University of Western Australia.  Toby is also a fellow of the Taxation Institute of Australia.

Toby has presented at various TIA seminars, written several articles on Australian tax issues for the Australian Venture Capital and Private Equity Journal and drafted submissions to Government for AVCAL and private equity fund managers on various issues relating to private equity.
